1. Acceptance of Terms

By accessing or using the Dead Life Inc platform located at deadlifeinc.com (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform. We may update these Terms at any time, and your continued use of the Platform after changes are posted constitutes acceptance.

2. About the Platform

Dead Life Inc operates a multi-tenant band merchandise marketplace based in Sacramento, California. The Platform enables local bands and musicians to showcase and sell custom, print-on-demand merchandise to fans and customers. Dead Life Inc facilitates the transactions, manages the platform infrastructure, and coordinates fulfillment through third-party print-on-demand partners (Printify and Printful).

3. Account Registration

3.1 Eligibility

You must be at least 13 years of age to create an account. If you are under 18, you represent that you have your parent or guardian's permission to use the Platform.

3.2 Account Responsibility

When you create an account, you agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your password and account credentials.
• Promptly update your information if it changes.
• Accept responsibility for all activity that occurs under your account.
• Notify us immediately at deadlifeinc@gmail.com if you suspect unauthorized access.

3.3 Account Roles

The Platform supports multiple account roles:

• Member: Registered users who can browse, purchase merchandise, earn rewards, and manage their profiles.
• Band Member: Users invited by a band to participate in band operations on the Platform.
• Band Admin: Users who manage a band's presence, merchandise, and team on the Platform.
• Platform Admin: Dead Life Inc staff who manage overall platform operations.

Your access to features depends on your assigned role(s). Misuse of elevated privileges may result in account suspension or termination.

4. Products and Orders

4.1 Print-on-Demand Products

All merchandise sold through the Platform is produced on a print-on-demand basis. This means items are custom-made after you place your order. Because of this:

• Products are manufactured individually for each order.
• Slight variations in color, placement, or sizing may occur between the product mockup shown on the Platform and the finished product. These variations are inherent to print-on-demand production and are not considered defects.
• Production times vary depending on the fulfillment partner and product type.

4.2 Product Descriptions and Pricing

We strive to display accurate product descriptions, images, and pricing. However:

• Product mockups are digital representations and may differ slightly from the physical product.
• Prices are listed in US dollars (USD) and are subject to change without notice.
• We reserve the right to correct pricing errors. If an error affects your order, we will contact you before processing.
• Shipping costs and applicable taxes are calculated at checkout and added to your order total.

4.3 Order Process

When you place an order:

1. You submit your order through our checkout process.
2. You receive an order confirmation email acknowledging receipt.
3. Your order is sent to our print-on-demand fulfillment partner for production.
4. Once produced, your order is shipped to the address you provided.
5. You receive tracking information when your order ships.

Order confirmation does not guarantee availability. In the rare event we cannot fulfill your order, we will notify you and issue a full refund.

4.4 Order Cancellation

You may request to cancel your order before it enters production. Once production has begun, orders cannot be cancelled. See our Refund Policy for details.

5. Payment Terms

5.1 Accepted Payment Methods

We accept payment methods as displayed at checkout. All payments are processed by third-party payment processors.

5.2 Payment Authorization

By placing an order, you authorize us to charge the payment method you provide for the total order amount, including merchandise, shipping, and applicable taxes.

5.3 Currency

All prices and transactions are in US dollars (USD).

5.4 Taxes

Applicable sales tax is calculated based on your shipping address and added to your order at checkout, in accordance with applicable laws.

6. Shipping and Delivery

6.1 Shipping Destinations

We currently ship to addresses supported by our fulfillment partners. Shipping availability and rates are displayed at checkout.

6.2 Shipping Times

Estimated delivery times include production time plus shipping transit time. These estimates are not guaranteed. Delays may occur due to production schedules, carrier delays, weather, customs processing (for international orders), or other circumstances beyond our control.

6.3 Shipping Risk

Risk of loss and title for items purchased passes to you upon delivery to the carrier. If your package is lost or damaged in transit, contact us at deadlifeinc@gmail.com and we will work with the carrier and fulfillment partner to resolve the issue.

6.4 Address Accuracy

You are responsible for providing an accurate and complete shipping address. We are not responsible for orders shipped to incorrect addresses provided by you. Re-shipment may incur additional charges.

7. Intellectual Property

7.1 Platform Content

All content on the Platform — including the Dead Life Inc name, logo, website design, graphics, software, and text — is the property of Dead Life Inc or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from Platform content without our written permission.

7.2 Band Content

Band names, logos, designs, and merchandise artwork displayed on the Platform are the property of the respective bands. Bands are responsible for ensuring they have the rights to all content they upload to the Platform. Purchasing merchandise does not grant you any intellectual property rights to the designs.

7.3 User Content

By uploading content to the Platform (such as profile information, bios, or images), you grant Dead Life Inc a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with operating the Platform. You retain ownership of your content.

8. User Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of these Terms.
• Impersonate any person or entity, or falsely represent your affiliation with a person or entity.
• Upload or transmit content that is infringing, defamatory, obscene, threatening, or otherwise objectionable.
• Attempt to gain unauthorized access to other accounts, the Platform's systems, or connected networks.
• Interfere with or disrupt the Platform or servers or networks connected to the Platform.
• Use automated means (bots, scrapers, crawlers) to access the Platform without our written permission.
• Circumvent, disable, or interfere with security features of the Platform.
• Engage in fraudulent transactions, including using stolen payment information or abusing the coupon and rewards system.
• Resell merchandise purchased through the Platform for commercial purposes without authorization.

Violation of these rules may result in immediate account suspension or termination.

9. Rewards Program

9.1 Participation

Registered members may participate in our loyalty rewards program. Points are earned through qualifying purchases and other activities as described on the Platform.

9.2 Points and Tiers

Reward points have no cash value and cannot be transferred, sold, or exchanged except as provided through the Platform's redemption system. Reward tiers are determined by your accumulated activity and spending.

9.3 Program Changes

We reserve the right to modify, suspend, or terminate the rewards program at any time. We will provide reasonable notice of material changes. Accrued points may expire or be forfeited upon account termination for cause.

10. Revenue Sharing and Band Partnerships

Dead Life Inc operates a revenue-sharing model with partner bands. Revenue splits, payout terms, and partnership details are governed by separate agreements between Dead Life Inc and each band. Customers are not parties to these agreements and are not affected by them.

11. Limitation of Liability

To the maximum extent permitted by law:

• Dead Life Inc is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Platform.
• Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We are not liable for delays, failures, or defects caused by our third-party fulfillment partners, shipping carriers, or payment processors, though we will work to resolve issues on your behalf.

12. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

13. Indemnification

You agree to indemnify, defend, and hold harmless Dead Life Inc, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal legal claim, you agree to contact us at deadlifeinc@gmail.com to attempt to resolve any dispute informally. We will work in good faith to address your concern within 30 days.

14.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

14.3 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to the jurisdiction of such courts.

15. Termination

15.1 By You

You may terminate your account at any time by contacting us at deadlifeinc@gmail.com. Termination does not affect any pending orders or outstanding obligations.

15.2 By Us

We may suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the Platform, or is otherwise objectionable. We may also terminate accounts that have been inactive for an extended period.

15.3 Effect of Termination

Upon termination, your right to access the Platform ceases. Sections that by their nature should survive termination will survive, including intellectual property, limitation of liability, indemnification, and dispute resolution.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Dead Life Inc regarding your use of the Platform and supersede all prior agreements.
